Consumer Rights Notice:
Certain jurisdictions (for example, the EU, UK, UAE, or others) provide
mandatory, non-waivable consumer protection rights.
Nothing in these Terms is intended to exclude or limit those rights.
To the extent such laws apply to you, they will apply in addition to these Terms,
but only to the minimum extent required by law.
Peer-to-Peer Trading Notice:
/market is a user-listed bulletin board — NHBCoin/Nehborly, Inc. is not a buyer, seller, broker, escrow, or guarantor.
Trades settle on-chain and are final. No refunds, chargebacks, or redemptions.
Verify counterparties, confirm wallet addresses, and beware fraud/phishing. We will never ask for your seed phrase or private keys.
By using /market you agree to the Trading Terms and Cash-Out Policy.

These Terms & Conditions (“Terms”) govern your access to and use of the NHBCoin website, interfaces, smart-contracts, and related services and materials (collectively, the “Services”).
NHBCoin is operated by Nehborly, Inc. (“NHBCoin,” “we,” “us,” “our”). By accessing the Services or creating/using a wallet for NHB, you agree to these Terms.
1. Nature of NHB & No Investment Advice
- Utility / Community Token. NHB is intended as a community utility token and experimental cryptoasset. NHB is not a stock, security, note, collective investment scheme, or deposit.
- No Advice. All content is for informational/illustrative purposes only and is not investment, legal, accounting, or tax advice. You should obtain independent professional advice before any crypto activity.
- Volatility & Total Loss. Crypto involves extreme price volatility, technological risk, regulatory risk, and total loss risk. You bear all risks.
2. Eligibility; Prohibited Jurisdictions
- You must be at least 18 years old and have legal capacity to agree to these Terms.
- You represent you are not subject to sanctions or located in embargoed or otherwise prohibited jurisdictions. We may geo-block or restrict access to comply with law.
3. Accounts, Wallets & Security
- Non-Custodial by Design. Our interfaces display balances and facilitate on-chain actions, but transactions occur on independent blockchain networks we do not control.
- Your Keys, Your Responsibility. You are solely responsible for securing devices, wallets, private keys, seed phrases, passcodes, and email access. We will never ask for private keys or seed phrases.
- Irreversibility. On-chain transfers are final once broadcast/confirmed. We cannot reverse, cancel, or claw back transactions.
- Phishing & Social Engineering. You are responsible for verifying any communications. Official communications are by email from addresses published on our site (see Section 15).
4. Acquiring NHB; Refunds; KYC/AML
- Acquisition Methods. NHB may be acquired through our site’s purchase flow or peer-to-peer (“P2P”) transfers between users. At this time, NHB to other crypto is not available. When available, we will announce officially.
- Final Sale – No Refunds. All NHB purchases are final. No refunds, chargebacks, or reversals, including for user error, price changes, fraud, hacks, or phishing.
- KYC Tiering. A default USD $500 per-transaction limit applies until you complete higher-tier identity checks. We may request additional information and refuse/limit service where KYC/AML concerns arise.
- Sanctions & Compliance. We may deny, suspend, or restrict accounts or transfers to comply with law, court orders, or regulatory guidance.
4A. Cash-Out, Liquidity & No-Redemption Policy
Cash-Out by Trading Only. “Cash-out” occurs solely when you trade your NHB with another person. You may (i) list and trade on the peer-to-peer market available at /market, or (ii) sell NHB independently in lawful private transactions. NHBCoin/Nehborly, Inc. does not operate a redemption desk and does not repurchase NHB from users.
- No Redemption Right; No Buybacks. NHB does not grant any right of redemption with NHBCoin/Nehborly, Inc., and we have no obligation to buy back, repay, convert to fiat, or otherwise return consideration exchanged for NHB.
- On-Chain Settlement Outside Our Control. NHB purchases and transfers are executed as on-chain actions we do not control. Once broadcast/confirmed, a transaction is final and cannot be reversed, cancelled, or clawed back by us (see Sections 3 and 12).
- No Liquidity Commitment. We do not guarantee any market, price, bid, ask, or trading volume for NHB. We have no duty to create or maintain liquidity on /market or elsewhere and may suspend or limit access consistent with these Terms.
- Counterparty Risk Is Yours. When you trade NHB with others (including via /market), you transact at your own risk with independent third parties. NHBCoin/Nehborly, Inc. is not a party to, and has no responsibility for, P2P trades, payment disputes, escrow arrangements, chargebacks between you and counterparties, or off-platform agreements.
- Pricing & Slippage. Any pricing tools or quotes shown in the UI are informational only and may differ from executable prices. You bear all slippage, spread, and execution risk.
4B. No Financial Services; No Money Transmission or Custody
- UI Only. We provide a non-custodial user interface to interact with public blockchains. We do not take possession of, control, or custody users’ assets or private keys.
- No Money Transmission. We do not receive money or monetary value for transmission, do not hold or remit funds on behalf of users, and do not operate escrow or fiduciary accounts.
- No Brokerage/Exchange. We are not a broker-dealer, ATS, exchange, payment institution, or money services business. Any P2P trading you conduct is directly with third parties at your own risk.
- No Fiat Handling. Except where explicitly identified as the seller at point of sale, we are not the counterparty to NHB acquisitions and do not hold users’ purchase funds.
5. Trading, Market Access & Bots
- P2P Transfers Allowed. Users may transfer NHB between each other subject to these Terms and applicable law.
- No Public Listings (for now). To reduce manipulation and bot activity, NHB will not list publicly on external exchanges at this time. If/when listing or crypto pairs become available, we will communicate via email/website.
- No Unauthorized Markets. You may not create or use unauthorized order books or automated trading systems for NHB.
- P2P Market Is a Bulletin Board. The /market interface is a user-driven listing board. NHBCoin/Nehborly, Inc. is not a buyer, seller, broker, agent, dealer, escrow, or guarantor and does not take title to NHB listed by users.
- Independent Sales. You may sell NHB independently where lawful. We do not police or resolve off-platform trades and disclaim all liability arising from them.
6. Staking, Rewards & Program Rules
- Programmatic Terms. Any staking, rewards, lockups, or similar programs (collectively, “Programs”) are offered “as available” and may change, suspend, or terminate at any time.
- No Guaranteed Returns. Rewards, yields, or APRs—if displayed—are estimates only, not promises. Past performance does not guarantee future results.
- Eligibility & Slashing. We may set performance, uptime, minimum balance, or behavioral requirements and may reduce/forfeit rewards for violations, fraud, or abuse.
- No Cash-Back. We do not provide cash-back on purchases or spending.
7. Chain Migrations, Forks & Protocol Changes
- Migration Right. We may migrate NHB to a new network or contract. You will be required to manually confirm your new address within a stated window to receive migrated balances.
- Forks. We may support, not support, or differently treat forks or upgrades in our discretion.
- Service Pauses. Withdrawals or certain actions may be paused for security, maintenance, or migration events. We will endeavor to notify users via email/website.
8. Availability; Downtime; Incidents
- “As-Is” Availability. Services may be unavailable or degraded without notice due to maintenance, vendor outages, network congestion, or force majeure.
- Security Events. If our interface is compromised, we may (a) pause transfers; (b) require re-verification; and (c) re-credit interface balances as reflected on-chain after remediation. We are not liable for off-site or on-chain losses beyond our reasonable control.
- No Control Over Networks. We do not control blockchain miners/validators, mempools, gas prices, or finality; you accept related risks (including failed, delayed, or reorged transactions).
9. Payments, Taxes & Fees
- Fees. Network fees may apply; zero-fee periods may change. We may introduce base or protocol fees in the future to support network operations.
- No Custody; No Redemption Funds. Transfers of fiat or crypto that occur in connection with acquiring NHB are settled on-chain between you and your chosen counterparty or to addresses you specify; NHBCoin/Nehborly, Inc. is not the seller or recipient of consideration for such NHB transfers unless we explicitly identify ourselves as the seller at the point of sale. We do not hold users’ purchase funds in custody.
- No Return of Consideration by Us. Because settlement is on-chain and outside our control, we are not liable to return any amounts you exchange for NHB, and no refund, redemption, or buyback right exists with us.
- Chargebacks & Reversals. You agree not to pursue chargebacks or reversals on the basis that you prefer to “cash out” by refund. If a processor or institution nonetheless initiates a reversal, you authorize us to provide transaction evidence (including on-chain hashes and logs) and you remain responsible for any negative balance, fees, or losses caused by the reversal.
- Taxes. You are solely responsible for all tax reporting and payment obligations arising from your NHB activities.
10. Acceptable Use
- No use for illegal activities, sanctions evasion, market manipulation, malware, spam, harassment, doxxing, or infringement.
- No attempts to probe, scan, or attack our systems or to circumvent access controls or rate limits.
11. Intellectual Property
- Our site, brand, code (excluding open-source components), graphics, and content are protected by IP laws. You receive a limited, revocable license to access and use the site as intended.
- Do not copy, modify, sell, sublicense, or create derivative works without permission.
11A. Developer Endpoints & API Terms
- As-Is Access. Any developer endpoints or APIs are provided “as-is,” with no uptime, accuracy, or support guarantees. Rate limits, quotas, and access keys may apply.
- Restrictions. You must not overload, scrape, circumvent controls, or use APIs for unlawful purposes; no automated trading or market-making unless expressly authorized.
- Suspension. We may throttle, suspend, or terminate API access at any time without liability.
- Indemnity. Developers agree to indemnify us for claims, damages, or losses arising from their apps, integrations, or API use.
12. Disclaimers
THE SERVICES AND NHB ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR CONTINUOUS AVAILABILITY.
We make no warranty that Services will be secure, uninterrupted, error-free, accurate, or free of harmful components, or that on-chain transactions will be executed as intended. We disclaim any obligation to provide, maintain, or source fiat or crypto liquidity for NHB, or to redeem or repurchase NHB under any circumstance.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEHBORLY, INC., NHBCOIN, OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS
SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST DATA;
LOSS OF GOODWILL; BUSINESS INTERRUPTION; OR SECURITY BREACHES; ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR NHB—EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS PRECEDING THE EVENT.
14. Indemnification
You agree to defend, indemnify, and hold harmless Nehborly, Inc., NHBCoin, and our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) your access to or use of the Services or NHB; (b) your violation of these Terms or law; (c) your wallet security failures; (d) fraud, phishing, or scams involving your accounts; (e) third-party disputes or your P2P transfers; (f) your applications or API use; and (g) any misuse, negligence, or willful misconduct (“stupid actions” included).
15. Communications
- Email-Only. Official notices and announcements will be made via email from domains we list on our site, and/or posted on the website.
- E-Sign Consent. You consent to receive electronic communications and agree electronic approvals have the same effect as physical signatures.
16. Withholds, Locks & Suspensions
- We may temporarily lock withdrawals or certain actions: (a) for security review, (b) during chain migration, (c) upon suspected fraud, or (d) to comply with law.
- We may request information to lift a lock. Failure to cooperate may result in continued restrictions.
17. Third-Party Services
Links, wallets, analytics, cloud providers, or KYC vendors are third parties. We do not control or endorse third-party services and are not responsible for their acts or omissions.
18. Governance & Community
NHB is a community-driven project. No single person “owns” the network. Our web UI is a convenience layer and may not reflect the full state of the network at all times.
19. Termination
We may suspend or terminate access for any violation of these Terms or law. Provisions that by their nature should survive termination shall survive (e.g., IP, disclaimers, limitations, indemnity, arbitration).
20. Dispute Resolution, Arbitration & Class Waiver
- Governing Law. Delaware law (USA), excluding conflicts rules.
- Binding Arbitration. Any dispute shall be resolved by confidential, final, and binding arbitration before a single arbitrator under JAMS rules in Wilmington, Delaware, in English. You waive jury trial.
- Class Action Waiver. Disputes must be brought individually; no class or representative actions.
- Injunctive Relief. We may seek injunctive relief in court to protect IP or security.
20A. Equitable Relief; Injunctions & Specific Performance
You acknowledge that any actual or threatened breach of these Terms relating to intellectual property, security and anti-circumvention, misuse of developer endpoints/APIs, confidential or proprietary information, or interference with the Services would cause NHBCoin/Nehborly, Inc. irreparable harm for which monetary damages are an inadequate remedy.
We may therefore seek temporary, preliminary, and permanent injunctive relief (including specific performance) and any other equitable remedies, without posting bond or other security, in a court of competent jurisdiction as permitted in Section 20, in addition to any other remedies available at law or in equity.
Seeking such equitable relief shall not constitute a waiver of arbitration for the merits of any claim where arbitration is otherwise required under Section 20; the arbitrator may also award equitable relief where permitted by applicable rules. Remedies are cumulative and not exclusive.
21. Changes to Terms
We may update these Terms at any time by posting the revised version with a new “Last Updated” date. Continued use after changes constitutes acceptance.
22. Miscellaneous
- Entire Agreement. These Terms are the entire agreement regarding the Services.
- Severability. If any provision is unenforceable, the rest remains in effect.
- Assignment. We may assign these Terms; you may not without our written consent.
- Force Majeure. We are not liable for events beyond our reasonable control.
22A. Severability; Blue-Pencil; Reformation
If any provision of these Terms is held invalid, illegal, or unenforceable in any jurisdiction, that provision shall be enforced to the maximum extent permissible and, to the extent necessary, shall be deemed modified (“blue-penciled”) to achieve its original intent as closely as possible, consistent with applicable law.
The invalidity, illegality, or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.
The parties affirmatively request any court or tribunal to reform or sever only what is necessary to render the remaining portions enforceable.
Without limiting the foregoing: (i) if any part of the class action waiver in Section 20 is found unenforceable as to a particular claim, then the arbitration agreement shall not apply to that claim; the claim shall proceed in the courts specified in Section 20 on an individual basis only; and (ii) if any portion of the arbitration agreement is found unenforceable for a particular claim, the remainder shall be enforced to the maximum extent permitted.
In all cases, no class or representative proceedings shall be permitted unless expressly required by non-waivable law.
22B. Construction; No Ambiguity; Language
- Headings. Headings are for convenience only and do not affect interpretation.
- “Including.” “Including” means “including without limitation.”
- No Presumption Against Drafter. The parties agree that these Terms shall be construed without any presumption or rule requiring interpretation against the drafter; contra proferentem is waived.
- Conflicts. If these Terms are translated, the English version controls to the extent of any conflict or ambiguity.
- Order of Precedence. If there is a conflict between these Terms and any policy, FAQ, or UI text, these Terms control.
22C. Survival; No Waiver
Sections 1, 3–12, 13, 14, 16, 17, 20, 20A, 22, 22A, 22B, and 23 (and any other provisions which by their nature should survive) survive termination of these Terms and your use of the Services.
No failure or delay by NHBCoin/Nehborly, Inc. in exercising any right shall operate as a waiver; any single or partial exercise shall not preclude any other or further exercise of that or any other right.
22D. Mandatory Consumer Law Savings Clause
Nothing in these Terms shall exclude, limit, or restrict any rights, remedies, or protections you may have under
mandatory, non-waivable consumer protection, data protection, or other applicable laws
of your jurisdiction that apply to you as a matter of law (“Mandatory Consumer Laws”).
To the extent that any provision of these Terms would be unenforceable under such laws, that provision shall
not apply to you to the minimum extent required, but the remaining provisions shall remain fully enforceable.
- We do not seek to contract out of, or unlawfully limit, any statutory rights that cannot be waived under EU, UK, UAE, or other consumer protection regimes.
- Where Mandatory Consumer Laws require specific disclosures, cooling-off periods, or refund rights, those apply only to the minimum extent required by law, and nothing more.
- This clause does not create any new rights beyond those already provided by Mandatory Consumer Laws and does not expand any remedies otherwise disclaimed in these Terms.
